Please read these Terms of Service ("Terms") carefully before accessing or using the Listing Engine website, software platform, browser extension and related services (together, the "Service"), operated by Listing Engine LTD ("Listing Engine", "we", "us" or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

Nothing in these Terms limits or excludes your statutory rights under the Consumer Rights Act 2015 or other applicable UK consumer protection laws.

1. Definitions

For the purposes of these Terms:

"Consumer" means an individual acting for purposes wholly or mainly outside their trade, business, craft, or profession.

"Business User" means any individual or entity (including sole traders, companies, charities, or partnerships) acting in the course of trade, business, craft, or profession.

"User" means any Consumer or Business User accessing or using the Service.

Certain rights and protections apply only to Consumers. Where you are a Business User, the B2B provisions of these Terms apply.

3. About the Service

ListingEngine.ai is a software platform designed to assist users with creating, optimising, and managing product listings across supported third-party marketplaces.

The Service provides automation and AI-assisted tools to support listing workflows. It does not replace user judgment, professional advice, or compliance obligations.

4. Account Registration

You must provide accurate, complete, and current information when creating an account and keep your details up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity carried out under your account.

5. Purchases and Payments (Credits)

Listingengine.ai operates on a credit-based system. Users make one-off purchases of credits, which are then used to create listings or access specific features within the Service.

If you purchase credits or other one-off services through the Service ("Purchase"), you may be required to provide payment details such as card information and billing address.

You confirm that:

  • you are legally entitled to use the payment method provided; and
  • all information supplied is accurate, complete, and up to date.

Payments are processed by our third-party payment provider, Stripe. By submitting payment details, you authorise us to share the necessary information with Stripe for the purpose of processing payments.

All prices are displayed inclusive of VAT.

6. Credits, Usage, and Cancellations

Credit Usage

Credits are consumed when listings are created within the Service.

Once a credit has been used to successfully generate a draft listing, it cannot be reversed or reused. If a listing generation fails, the credit used for that generation will be automatically returned to the user's account.

Credits do not expire.

No Subscriptions

ListingEngine.ai does not operate on a subscription basis. There are no recurring charges unless explicitly stated at the point of purchase.

Cancellations

As credit purchases are one-off transactions, there is no ongoing subscription to cancel. You may stop using the Service at any time without further charges.

Refunds

Except where required by law or expressly stated in these Terms, unused credits are non-refundable.

Where a refund is granted under statutory consumer rights any credits already used will be deducted from the refunded amount.

No Cash Value

Credits have no cash value and cannot be exchanged for money, transferred, resold, or redeemed outside of the Service.

7. Consumer Cancellation Rights and Refunds

UK Consumers

If you are a Consumer, you may have a 14-day right to cancel under the Consumer Contracts Regulations, unless you have requested immediate access to the digital service and acknowledged that your right to cancel may be lost once performance begins.

Refund requests must be submitted within 72 hours of purchase.

8. Business Users – Refunds and Cancellation

If you are a Business User:

  • statutory consumer cancellation rights do not apply;
  • credits are non-refundable once access to the Service has been provided.

9. Payment Disputes and Chargebacks

If a payment dispute or chargeback is raised, we may temporarily suspend access to the Service while the issue is reviewed.

Where appropriate, we may contact you to attempt resolution. If a chargeback is determined to be fraudulent, abusive, or made in bad faith, we reserve the right to terminate the account.

10. Support

Email-based customer support is available via support@listingengine.ai or through live chat during business hours.

We aim to respond within three business days, though response times may vary.

11. Availability, Accuracy, and AI Outputs

We continuously improve the Service. While we aim to provide a reliable platform, errors, inaccuracies, delays, or interruptions may occur.

AI-generated outputs may require human review and are provided as assistance only. We do not guarantee accuracy, completeness, or performance outcomes.

12. Third-Party Marketplaces and Browser Extensions

Listing Engine integrates with third-party marketplaces (such as eBay, Shopify, Vinted, Depop and others). These platforms are independent and are not owned or controlled by Listing Engine.

By connecting a marketplace account or using the Listing Engine browser extension, you authorise Listing Engine to access listing and inventory information and to create, edit, synchronise, delete or delist listings on your behalf in order to provide the Service.

You remain responsible for complying with the terms, policies, fees and rules of every marketplace you connect. Marketplaces may change their systems, APIs, policies, access methods and enforcement practices at any time, which may affect whether a Listing Engine feature remains available or functions correctly.

We do not guarantee that any listing, update, import, synchronisation or delisting action will be accepted, completed immediately or remain available on a marketplace. You remain responsible for reviewing your listings and monitoring your inventory.

Listing Engine is not responsible for actions or decisions taken by a marketplace, including listing removals, reduced visibility, account limitations, payment holds, suspensions, bans, fees, penalties or other enforcement action. You remain responsible for ensuring that your use of each marketplace, and your use of Listing Engine in connection with that marketplace, complies with the marketplace's applicable terms, policies and rules.

For Business Users, the Service is provided as a business productivity tool, and you remain responsible for all applicable tax, legal, regulatory and marketplace compliance obligations.

You may stop Listing Engine's access to a marketplace by disconnecting the relevant integration, revoking any marketplace authorisation, or disabling or uninstalling the browser extension where applicable.

Nothing in this section excludes or limits liability that cannot lawfully be excluded or limited.

13. Suspension and Termination

We may suspend or terminate access where we reasonably believe:

  • these Terms have been breached;
  • fraudulent, abusive, or bad-faith activity has occurred; or
  • continued use poses legal, security, reputational, or operational risk.

14. Limitation of Liability

Business Users

To the fullest extent permitted by law:

  • all implied warranties and conditions are excluded;
  • we are not liable for loss of profits, revenue, business, goodwill, contracts, or data; and
  • our total aggregate liability in any 12-month period shall not exceed the fees paid by you during that period.

15. Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

We do not guarantee uninterrupted access, error-free operation, or that use of the Service will result in increased sales, visibility, or marketplace approval.

Inventory synchronisation and delisting may be delayed, interrupted or unsuccessful due to technical limitations, connectivity issues, third-party system changes or other factors beyond our reasonable control. We do not guarantee that the Service will prevent duplicate sales, overselling or delayed delisting.

16. Intellectual Property

All software, AI models, workflows, content, designs, text, graphics, and branding associated with the Service are owned by or licensed to ListingEngine Ltd and are protected by intellectual property laws.

You may not copy, reproduce, or exploit any part of the Service without prior written consent.

17. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will take reasonable steps to notify users.

Continued use of the Service constitutes acceptance of the updated Terms.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

For Consumers, UK courts will have jurisdiction.

For Business Users, the courts of England and Wales shall have exclusive jurisdiction.

19. Privacy and Data Protection

Use of the Service is subject to our Privacy Policy. ListingEngine.ai complies with UK GDPR and applicable data protection laws.
